Spansion announced it has reached a deal with Fujitsu Semiconductor, a wholly-owned subsidiary of Fujitsu, to acquire the microcontroller and analog business of Fujitsu Semiconductor for approximately US$110 million, plus approximately US$65 million for inventory. The net impact is expected to be accretive for Spansion in 2013, according to the flash chipmaker.
"This acquisition provides incremental revenue and aligns with our strategy to expand into system-on-chip solutions that require leadership in embedded flash technology," Spansion president and CEO John Kispert said in a statement. "We will gain valuable people and intellectual property as well as microcontroller and analog products that will enable us to expand our customer base, addressing complete embedded systems requirements in automotive, industrial and consumer markets."
Kispert continued that Spansion has been a strategic partner with Fujitsu Semiconductor for decades, sharing many of the same customers, and expects a seamless transition for all employees and customers.
The acquisition is expected to be completed between July and September 2013, subject to various customary closing conditions, Spansion said
