China’s State Administration for Market Regulation has conditionally approved the $35 billion acquisition of Ansys by Synopsys, according to a statement from the regulator.
The approval comes with specific conditions related to customer contracts. Under these terms, Synopsys cannot terminate existing customer contracts.

Additionally, the company is not permitted to reject requests from Chinese customers who wish to renew their contracts.
The Chinese market regulator’s decision represents a key regulatory step for the deal to move forward after the US and EU regulators approved the deal.
The agreement by the regulator comes a week after the US government lifted restrictions of exports of EDA tools and services to China.
