SZ-ATE, now a division of Credence

Friday, January 3, 2003
Just two weeks after German investors came to the rescue of SZ Testsysteme AG, allowing it to narrowly avoid filing for bankruptcy, the troubled ATE supplier has been sold to Credence Systems Corp.

Fremont, Calif.-based Credence today said it has acquired all of the assets of SZ Testsysteme AG and SZ Testsysteme GmbH from the Klaus Christian Penner family for about $4.7 million. Credence now owns SZ Test’s portfolio of ATE, which is primarily focused on the advanced analog, power, automotive and communications markets.

“Historically our strength and expertise have been in the mixed-signal test market, whereas SZ’s focus has been primarily in the automotive test sector -- a sector we believe will demonstrate strong, steady growth over the next five years,” said Graham J. Siddall, chairman and CEO of Credence, in a statement. “This acquisition will complement our current mixed-signal and wireless solutions portfolio as well as create a new division focused primarily on the more resilient and emergent automotive test market.”

Credence cited Gartner Dataquest statistics for the automotive semiconductor market, where 2002 revenues totaled over $13 billion, with total market revenues forecasted to reach $21 billion by 2006. Credence believes that as automobiles offer increasingly complex features, advanced electronic control units (ECU) processors will drive demand for advanced ATE.

Credence will operate its Credence-SZ division from a facility in Amerang, Germany, continuing to develop, manufacture and support test systems. Sales, service and applications support will be integrated into Credence’s worldwide distribution network, the company said.

“This acquisition underscores Credence’s continued commitment to providing our customers with the most advanced and cost-effective manufacturing test equipment available today,” Siddall said. “By combining SZ and Credence test systems, we now extend our range of mixed-signal solutions to address a larger worldwide customer base.”
